How to register a company in Spain step by step

Setting up a company in Spain is a multi-stage legal procedure, including registration of the name, signing of the incorporation documents, opening of the account, capitalization, registration with the tax authorities and activation of the activity. We accompany the entire process on a turnkey basis.

1. Initial consultation, project analysis and selection of company structure

We start by understanding your business, goals and operating model. Based on this, we determine:

  • whether you want SL or SLU,

  • how many members will be in the company,

  • how to distribute the shares,

  • what minimum capital to set (from 1€ or more),

  • which activity codes (CNAE / IAE) will be used,

  • which tax models are right for you.

At this stage, the entire future structure of the company – legal, financial and operational – is formed.

2. Verification and reservation of the company name (Certificación Negativa del Nombre)

We prepare a request to Registro Mercantil Central to verify the uniqueness of the name and reserve it.
Without the correct application, the notary is not authorized to incorporate the company.

We are:

  • we’re looking for name options,

  • checking availability,

  • make a request and get an official confirmation,

  • warn in advance of possible problems (often names are rejected).

3. Preparation of Articles of Association (Estatutos Sociales) and constituent documents

This is the legal basis of the company. We create a charter that regulates in detail:

  • activities (objeto social),

  • order of governance,

  • the rights and obligations of the partners,

  • capital and distribution of shares,

  • voting and decision-making rules,

  • the possibility of expanding operations in the future.

The articles of association must be drafted in such a way that the notary, Registro and the bank accept them without comment.

4. opening of a corporate bank account and contribution of authorized capital

We accompany the process because the banks in Spain require:

  • confirmation of identity,

  • description of future activities,

  • provisional statute,

  • documentation of the origin of the funds,

  • NIE and financial documents of the founders.

We prepare the entire package and explain the purpose of the company to the bank.
Once the account is opened, the capital is deposited and the bank issues the Certificado de Ingreso del Capital, a mandatory document for the notary.

5. Preparation and signing of the Escritura de Constitución before a notary public

We organize the recording, personally attend the signing and oversee the entire process.
At the notary’s office, it’s being prepared:

  • Escritura Pública,

  • proof of capital,

  • articles of incorporation,

  • minutes of incorporation,

  • the data of all participants.

We check every paragraph of the document, explain all legal wording and prevent errors.

6. Obtaining a temporary company NIF and registration with the tax office (Hacienda)

After the notary, the company receives a temporary NIF.
We are registering a company in Hacienda, viz:

  • connect corporate taxes (IS),

  • register activities with the IVA and IRPF (if required),

  • make out Modelo 036,

  • customize mandatory tax processes.

This step is critical – a company without registration with Hacienda cannot operate.

7. Registration of the company in the commercial register (Registro Mercantil)

The Notarial Escritura must be registered within 2 months.
We file the paperwork with Registro Mercantil, pay the fees, track the deadlines and receive confirmation of registration.

The company then receives its final NIF and its operations become official.

8. Obtaining a Certificado Digital company and connecting to government systems

We arrange for a legal entity’s electronic signature and set up access to:

  • Agencia Tributaria,

  • TGSS,

  • Registro Mercantil,

  • banking platforms,

  • e-filing portals.

This gives you the ability to run your company completely online.

9. Final inspection, handing over the package of documents and work instructions

The client gets:

  • Escritura,

  • Statute,

  • NIF,

  • registration documents,

  • bank account confirmations,

  • access to electronic systems,

  • complete tax, reporting and liability instructions.
